Transactional Lawyer

*Transactional Lawyer, Commercial & Contracts law-Chester-6 month maternity cover*

Bank of America based in Chester are currently recruiting for an In-House Transactional Lawyer to cover maternity cover. The suitable candidate will have experience of commercial and contracts law.

Overview - Reporting in to the Head of transactions the role is responsible for providing full legal support on a vast array of commercial contracts. These are principally with affinity partners which deal with branding and marketing rights, together with network schemes contracts, sponsorship agreements, portfolio acquisitions/disposals, referral contracts, sale of debt contracts.

Key Accountabilities and Responsibilities - *Drafting and negotiating commercial contracts and supporting risk governance process.
*Advising on contract interpretation and support in maintaining updated standard agreements.
*Understanding of the regulatory environment within which the business operates.
*A good working knowledge of data protection law is required to the level where advice can be given on data share and data processing provisions in agreements.
*Required to review and approve marketing materials for the credit card business within company guidelines

As an individual contributor:

*to ensure that contracts are delivered within required timeframes and commercial advice is provided to the LOB on such contracts, advising on commercial propositions and alternatives, as appropriate
*To ensure that all contractual risks are highlighted to the business and significant risks are flagged to executive and GC and mitigated as appropriate
*To ensure that appropriate standards are maintained and subject to regular review on changes of law/commercial approach
*To keep up to date with regulatory changes that affect the contracts with which they deal
*To develop and maintain good relationships with panel of external legal providers and ensure appropriate range of services are available
*To manage external legal spend on any outsourced transactions and to follow tender process when outsourcing any deal
*To advise on contract interpretation of existing contracts and provide contractual support to the business post contract signature
*To feed into MBNA regular risk routines

*Qualified and experienced lawyer
*Proven experience in drafting and negotiating commercial contracts

Preferred:
*Credit card and financial services background
*Co-branding experience
