My client, an Oil & Gas operator, is searching for an experienced Paralegal with 3+ years of Paralegal experience working for a public company. The role is based in Pittsburgh, PA. Relocation packages available.

Paralegal or Senior Paralegal assists the Corporate Secretary and the legal department in a variety of areas and is responsible for:

* Assisting in communications with the parent company Board of Directors and maintaining records of the same, including:

* preparing agendas, calendars, resolutions, consents, reports, and other reference material;
* maintaining orderly and functional records;
* coordinating mailings to directors;
* coordinating administrative matters relating to in-person meetings;
* maintaining data regarding attendance and preparing payments.

* Assisting in matters relating to the proxy statement, Form 10-K and annual meeting of shareholders, including:

* preparing, compiling data from and analyzing annual D&O questionnaire;
* coordinating the printing and mailing of documents to shareholders, banks and brokers;
* updating annual meeting reference book and coordinating meeting logistics;
* coordinating with Investor Relations, Corporate Communications and Accounting.

* Preparing and filing reports with the New York Stock Exchange.
* Maintaining relationship with transfer agent, monitoring stock transfer activity, and preparing monthly and quarterly reports for accounting.
* Assisting or performing Corporate Secretary role for all non-public subsidiaries, including attendance at meetings, board minutes, recordkeeping, state and local statutory compliance (organization and qualification), and corporate restructuring requirements.
* Providing professional, specialized assistance to legal department relating to securities benchmarking, records management, subsidiary administration, and diligence for major legal transactions and projects.
* Managing records retention process for Corporate Secretary and Legal Departments.
* Typing, filing and other administrative duties.

* Strong ability to proofread and edit legal documents, such as written consents, regulatory filings and other documents
* Ability to manage multiple projects at one time

* Exceptional computer and technology skills, including Microsoft Office, hCue (subsidiary management) , File Trail (records management), CT Advantage (on-line state filing System), and BoardVantage (board portal)
* Familiarity with Pennsylvania and Delaware corporate and limited partnership laws preferred
* Some local, non-overnight travel required

Required Experience

* High school diploma or GED
* At least three years of related paralegal experience, with an emphasis on corporate law
* Bachelor's degree in paralegal studies or a paralegal certificate required for the Senior Paralegal role
