Legal Counsel Commercial EMEA - 6 months + - Rate is Negotiable - Buckinghamshire

Role/Task description:
A Legal Counsel, Commercial EMEA is responsible for the day-to-day activity of structuring and drafting commercial contracts with xxxx Life Science's key strategic and corporate account customers in the EMEA region. The Legal Counsel is also responsible for maintaining commercial policies and procedures, and ensuring consistent application of these throughout the business, through sound partnering with the business. The Legal Counsel reports directly to the EMEA Managing Counsel within the Commercial Legal team.

Key responsibilities/essential functions include:

- Acting as a business partner by applying combined business and legal judgment to proposed deals, relationships and other issues requiring legal or compliance attention, strategic commercial legal advice and support of key initiatives.
- Drafting, reviewing and negotiating strategic business agreements and transactions such as (but not limited to) customer sales contracts, distribution, and licensing agreements.
- Supporting the R&D teams in drafting and negotiation of Material Transfer Agreements (MTAs), Collaboration Agreements, grant arrangements (both EU and UK) and speaker agreements for conferences.
- Advising the business on regulatory, privacy, antitrust and advertising/promotional matters
- Providing regulatory and compliance advice- in conjunction with the Regulatory and Compliance specialist areas in xxxx.
- Supporting on dispute resolution and litigation where appropriate
- Drafting of template agreements
- Managing outside counsel relationships and advice (esp. Germany)

Compliance Specific Goals:

- Aware of and comply with the xxx internal policies, and applicable laws and regulations as they apply to this job type/position
- Complete all planned Compliance training within the defined deadlines
- Identify and report any compliance concerns and take immediate corrective action as required

Required Qualifications:

- JD (or equivalent) with active bar or law society qualification in UK or other major jurisdiction
- In the region of 3-7 years of business law experience at a large law firm or corporate legal department in-house, including but not limited to drafting, negotiating and closing complex business transactions (ie purchase, sale and distribution agreements).
- Previous experience drafting and negotiating complex business transactions, including licensing deals.
- Previous experience prioritizing conflicting demands from multiple business clients in an extremely fast-paced environment.
- Ability to communicate using English and outstanding interpersonal skills.

Preferred Qualifications:

- Experience of the Healthcare industry and previous exposure to medical industry regulations
- Demonstrated experience providing legal advice in a highly regulated environment
