LAWYER - GLOBAL CUSTODY - INVESTMENT BANKING

Bank of America Merrill Lynch's legal team is dedicated to supporting the Global Custody and Agency Services business. This Position will report directly to the Head of Legal for GCAS

Responsibilities include

Transactional related work includes, but is not limited to:
(i) Negotiation of contractual provisions with internal/external parties on GCAS products.
(ii) Review of transaction documentation for deals including eurobond issuances, project finance, syndicated loans, fund structures (some capital markets experience would be helpful but given these are no longer core products should be limited involvement on such matters).
(iii) Provision of internal advice on contractual provisions and adherence to internal bank policy and procedures.
(iv) Defaults and enforcements.

Legal input on new product development, internal restructurings and other project related matters.
Regular liaison with regulatory/compliance/risk/business control/litigation teams.

Current Role requirements
Senior lawyer with experience in custody, escrow and issuing and paying agency products.

The key focus will be on the custody product and experience relating thereto, including but not limited to: institutional custody, fund custody, global custodians, sub-custodians, custodian networks and infrastructures, regulatory/legislative requirements and developments (eg. CASS, AIFMD), security arrangements over assets etc. Secondary focus on escrow agent and issuing and paying agent roles. Any in-house experience would be preferable. Any general capital markets experience would also be helpful.
